Terms Of Service
Milebit (“we”, “our”, or “us”) provides the Milebit website, mobile application, and related services (the “Service”).
These Terms of Service (“Terms”) govern your access to and use of the Service. By accessing or using Milebit, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Your use of the Service is also subject to our Privacy Policy.
1. Eligibility
The Service is intended for users who are 18 years of age or older. By using the Service, you represent that you meet this requirement.
2. Account Registration and Security
To access certain features, you may need to create an account. You agree to:
Provide accurate and complete information
Keep your login credentials secure
Notify us promptly of any unauthorized access or use
You are responsible for all activity that occurs under your account.
3. The Service and Feature Availability
Milebit provides tools that may include routing, navigation, live location sharing, communications, and analytics.
We may add, change, suspend, or discontinue any part of the Service at any time. Some features may not be available in all regions or on all devices.
4. Location-Based Features
Location sharing may allow you to share your location with other users (e.g., friends) or, if you use the Service through an employer, carrier, fleet, or other organization (a “Fleet Customer”), with authorized users of that Fleet Customer (such as dispatchers, safety managers, or administrators) (“Fleet Admins”), depending on your settings and account configuration.
Fleet Admins are employees or authorized representatives of the Fleet Customer, not Milebit personnel. Milebit employees may access limited account and usage information only for support, security, fraud prevention, or legal compliance purposes, subject to internal access controls.
5. User Content and Communications
The Service may allow you to create, upload, transmit, or share content, including messages and other information (“User Content”).
You retain ownership of your User Content, but you grant Milebit a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display your User Content solely for the purpose of operating, improving, and providing the Service.
You agree not to post or transmit User Content that is unlawful, harmful, abusive, harassing, misleading, infringing, or otherwise objectionable.
6. Acceptable Use
You agree not to:
Use the Service for any illegal purpose
Attempt to access or disrupt the Service, servers, or networks
Reverse engineer, decompile, or attempt to extract source code (except as permitted by law)
Scrape, copy, or harvest data from the Service without permission
Impersonate others or misrepresent affiliation
Use the Service to send spam or unsolicited communications
We may suspend or terminate access if we believe you violated these Terms or used the Service in a way that could harm users, partners, or Milebit.
7. Subscriptions and Payments (If Enabled)
Certain features may require a paid subscription.
If you purchased a subscription directly from Milebit (not through Apple App Store or Google Play), you may cancel within three (3) days of your initial purchase and request a refund, unless a longer period is required by law. After that period, fees are non-refundable except as required by law.
If you purchased a subscription through Apple App Store or Google Play, cancellation and refunds are handled by the app store and are subject to the app store’s policies. Milebit cannot issue refunds for purchases processed by third-party app stores.
We do not control and are not responsible for payment provider outages, fees, or policies.
8. Third-Party Services
Telematics and Fleet Integrations (e.g., Samsara). If you or a Fleet Customer connects a third-party telematics or fleet management provider (such as Samsara) to the Service, Milebit may receive and process data made available by that provider (for example, vehicle location, trip events, vehicle identifiers, and related operational signals) solely to provide the integration features you enable.
The Fleet Customer controls whether an integration is enabled and which Fleet Admins can access integration data within the Service. Milebit does not grant Fleet Customers access to data beyond what they are authorized to access from the third-party provider.
9. Safety and Disclaimer for Navigation
The Service may provide routing, navigation, or analytics. This information may be inaccurate, incomplete, or delayed.
You are responsible for complying with all applicable laws and traffic regulations and for making safe driving decisions. Do not use the Service in a way that distracts you while operating a vehicle.
10. Intellectual Property
The Service, including its software, design, and content (excluding User Content), is owned by Milebit and protected by intellectual property laws.
You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service unless you have our written permission.
11. Termination
You may stop using the Service at any time.
We may suspend or terminate your access to the Service if:
You violate these Terms
Your use creates risk or legal exposure for Milebit
We are required to do so by law
Upon termination, sections that by their nature should survive will survive, including intellectual property, disclaimers, limitation of liability, and dispute terms.
12. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.”
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MILEBIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF MILEBIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, MILEBIT’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED, IN THE AGGREGATE:
(a) IF YOU PAID FOR THE SERVICE: THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO MILEBIT FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(b) IF YOU DID NOT PAY FOR THE SERVICE: $35 (OR THE MINIMUM AMOUNT PERMITTED BY LAW).
THIS LIMITATION APPLIES PER USER AND PER INCIDENT, AND REGARDLESS OF THE FORM OF ACTION.
THE SERVICE MAY PROVIDE ROUTING, NAVIGATION, AND ANALYTICS. YOU ARE SOLELY RESPONSIBLE FOR SAFE DRIVING DECISIONS AND COMPLIANCE WITH LAWS AND REGULATIONS. TO THE FULLEST EXTENT PERMITTED BY LAW, MILEBIT IS NOT LIABLE FOR CLAIMS ARISING FROM ACCIDENTS, INJURIES, OR PROPERTY DAMAGE RELATED TO YOUR OPERATION OF A VEHICLE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless Milebit and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
Your use of the Service
Your User Content
Your violation of these Terms or applicable laws
15. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights.
15.1 Informal Resolution
Before starting any formal legal action, you agree to contact us at hello@milebit.io with a brief description of the issue. We will try to resolve disputes informally within a reasonable time.
15.2 Binding Arbitration (United States)
If a dispute cannot be resolved informally, you and Milebit agree that any claim or controversy arising out of or relating to the Service or these Terms will be resolved by binding arbitration on an individual basis, rather than in court, except as described below.
Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or similar rules). The arbitrator may award any relief available in court, subject to the limitations in these Terms.
15.3 Exceptions
Either party may bring a claim in small claims court if the claim qualifies. Either party may also seek injunctive or equitable relief to protect intellectual property rights or prevent unauthorized access or misuse of the Service.
15.4 No Class Actions
You and Milebit agree that disputes will be brought only on an individual basis. You waive any right to participate in any class action, class arbitration, or representative action.
15.5 Venue If Arbitration Does Not Apply
If arbitration is not required for a particular claim, the claim will be brought in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post updated Terms on milebit.io and update the “Last Updated” date. Your continued use of the Service after changes means you accept the updated Terms.
